The book takes a practical, hands-on approach to the drafting of contractual clauses in M&A, Private Equity and Venture Capital transactions, focusing on an area that is becoming increasingly relevant for both professionals and businesses: the integration of legal and financial expertise in complex corporate transactions.
Over the past decades, financial contracting has evolved considerably. Structuring complex agreements today requires not only a solid understanding of the legal framework, but also the ability to interpret the economic interests of the parties and translate the financial dynamics underlying a transaction into effective contractual provisions.
During the event, Luca Ponti will introduce the book’s main themes and approach.
The presentation will be followed by an open discussion with participants on developments in acquisition agreements, M&A transactions, and Private Equity and Venture Capital investments.
